Terms of Service

1. About these terms

These Terms of Service ("Terms") form a binding agreement between you and Covena Flow LLC ("Covena Flow", "we", "us"), trading as Covena Flow, governing your access to and use of the Covena Flow website, software, and related services (the "Service"). By creating an account or continuing to use the Service, you accept these Terms.

2. Authority and eligibility

If you use the Service on behalf of a company or organisation, you represent that you have authority to bind that organisation to these Terms. If you use it as an individual, you confirm you are of legal age to enter a binding contract.

3. The Service

Covena Flow provides software and AI-assisted tools for HOA and community-management companies, including document drafting, workspace collaboration, and related features. We may add, change, or remove features at our discretion.

4. Your account

  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must provide accurate information and keep it up to date.
  • Notify us promptly of any suspected unauthorised access.

5. Acceptable use

You must not, and must not allow others to:

  • Use the Service unlawfully, fraudulently, or to send spam.
  • Infringe intellectual-property or privacy rights of others.
  • Interfere with security: probe, scan, deploy malware, scrape, or evade rate limits.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Use the Service to generate unlawful content, deepfakes, hateful content, harassment, malware, or content designed to defraud or deceive.
  • Attempt to jailbreak, prompt-inject, or otherwise circumvent safety measures of AI features.

6. AI features, inputs, and outputs

  • You are responsible for the prompts and inputs you submit, for verifying the accuracy of outputs, and for how you use them. You must have the rights necessary to submit any input content.
  • As between you and Covena Flow, you retain rights in your inputs and outputs, subject to the licence in section 9 below. You must not use outputs in a way that violates third-party rights or applicable law.
  • If a rights-holder believes your content infringes their rights, they may contact legal@covenaflow.com with a takedown request. We may remove infringing content and terminate accounts of repeat infringers.
  • We may moderate, filter, restrict, or refuse outputs, and suspend accounts that misuse AI features.
  • Outputs may be inaccurate or incomplete. The Service is not a substitute for legal, financial, tax, or other professional advice. Do not rely on AI outputs for regulated decisions without independent professional review.

7. Intellectual property

Covena Flow and its licensors own all rights in the Service, including software, documentation, branding, and underlying models and prompts. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan and these Terms. No other rights are granted by implication or otherwise.

8. Your content

You retain ownership of content you submit. You grant us a limited, worldwide, royalty-free licence to host, store, transmit, and process your content solely to provide and improve the Service and to comply with law.

9. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Subscription fees, billing cycles, taxes, currency conversion, payment terms, cancellations, and refunds are handled by Paddle and governed by the Paddle Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled. You can manage or cancel your subscription at any time through your billing portal or via paddle.net.

10. Service level

We work hard to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available".

11. Warranties and disclaimer

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (including for fraud, death, or personal injury caused by negligence).

13. Indemnity

You will indemnify and hold harmless Covena Flow from claims arising out of (a) your content, (b) your use of the Service in breach of these Terms, or (c) your violation of applicable law or third-party rights.

14. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

15. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app banner. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except where applicable consumer-protection law allows you to bring proceedings in your local courts.

17. Assignment and force majeure

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for failure or delay caused by events beyond reasonable control.
